TELUS Digital does not currently pay a dividend on its subordinate voting shares, with the goal of creating greater value by retaining all available funds and future earnings to fund operations and fuel further growth.

Following the initial public offering, TELUS Digital’s authorized share capital includes subordinate voting shares and multiple voting shares.

The rights of the holders of subordinate voting shares and multiple voting shares are generally identical, except with respect to voting and conversion. The subordinate voting shares have one vote per share and are not convertible into any other class of shares. The multiple voting shares have 10 votes per share and are convertible into subordinate voting shares on a one-for-one basis at the option of the holder and automatically upon the occurrence of certain events.
